The for profit was organized as an LLC. Technically you can eliminate fiduciary obligations in an LLC by agreement, but this is rare and highly unlikely here.

If member managed they owe each other fiduciary duties; if manager managed the manager is a fiduciary. The non profit appears to be in “control” as either manager or majority owner. Did MSFT say here’s $10 billion and, oh btw, don’t worry about acting carefully with it?

Many people misunderstand structure of OpenAI. There is more alignment between the for profit and nonprofit entities than suggested by critics. The nonprofit gets all revenue above the profit cap. It’s simply a revenue sharing model.
